Consumer platform, membership and in-person participation terms

IMPORTANT: These Terms contain provisions concerning automatic renewal, in-person interactions, confidential relational feedback, account restrictions, disclaimers and limits of liability. Please read them carefully.
Welcome to SocialFit. These Terms explain the legal conditions governing access to the Service. SocialFit is designed to support real-world connection, not to certify people or guarantee social outcomes. By accepting these Terms, you also agree to comply with the incorporated policies and feature-specific rules presented to you.
1. Contracting Entity, Scope and Definitions
1.1 Contracting entity
These Master Terms and Conditions (the "Terms") are a legally binding agreement between you and P Labs FZE, a free zone establishment registered in the Ajman Free Zone, United Arab Emirates ("P Labs", "we", "us" or "our"). SocialFit and Philia Life are brands and operating identities of P Labs and are not separate legal entities.
1.2 Scope of the Service
These Terms govern your application for, access to and use of the SocialFit website, mobile or web applications, onboarding journeys, Philia ID, membership services, Signals, matching and curation systems, Trust or Relational Evidence Graph, Pods, Rooms, Scenes and other curated experiences, participation and reward features, support channels, and related content and services (collectively, the "Service").
1.3 Key definitions
A "Member" is an individual with an active SocialFit account. A "Signal" is a time-sensitive expression of a Member's present social intent or availability. A "Room" is a Member-hosted or platform-facilitated interaction involving the number of participants indicated in the Service. A "Scene" is a curated or capacity-limited SocialFit experience. A "Philia Key" is a designated invitation or nomination credential. "Relational Feedback" means private feedback concerning a Philia-mediated interaction. "Platform Systems" means SocialFit's matching, curation, relational-intelligence, governance, safety, reliability and reward systems, whether rule-based, statistical, machine-learning-assisted or supported by artificial intelligence.
A “Circle” is a Member-controlled relationship layer through which a Member may expressly establish or manage selected relationships for supported SocialFit features. Inclusion within a Circle does not provide unrestricted access to another Member’s Story, Signals, Pulse, Relational Feedback, safety information or other private account data.
1.4 Order of documents
These Terms incorporate the Privacy Policy, SocialFit Community Standards & Acceptable Use Policy, the plan description displayed at purchase, and any event, venue, Key or reward rules presented for a particular feature (the "Additional Terms"). If a conflict concerns price, duration or feature entitlements, the purchase terms control for that purchase. If a conflict concerns personal-data processing, the Privacy Policy controls. These Terms control on all other matters unless applicable law requires otherwise.
2. Acceptance, Eligibility and Legal Capacity
2.1 Acceptance
You accept these Terms when you create an account, complete an application, activate a Philia Key, purchase a membership or ticket, click an acceptance control, or continue using the Service after the Terms have been presented to you. If you do not agree, you must not use the Service.
2.2 Adults only
The Service is intended only for individuals who are at least eighteen (18) years old and have full legal capacity to contract. SocialFit does not permit use by minors. All account holders, including Explorer users, must satisfy the age-assurance process applicable to their access level. Age assurance is distinct from full identity verification, and an Explorer may remain identity-unverified while still being required to establish eligibility as an adult.
Paid membership or specified higher-trust features may separately require government-issued identity verification. P Labs may withhold, restrict or suspend access where age or eligibility cannot reasonably be established.
2.3 Territorial compliance
You may use the Service only where doing so is lawful. If you access the Service outside the United Arab Emirates, you are responsible for complying with mandatory local laws that apply to you. Nothing in these Terms excludes a mandatory consumer or privacy protection that cannot lawfully be waived.
2.4 Entity use
The consumer Service is designed principally for individual use. If P Labs expressly authorises an organisation or community account, the person accepting these Terms on its behalf represents that they have authority to bind that entity, and any supplemental business terms will also apply.
3. Applications, Accounts and Account Security
3.1 Accurate information
You must provide information that is accurate, current and complete and must promptly correct material inaccuracies. You must not impersonate another person, create an account for someone else without authority, conceal your age, or misrepresent your identity, intentions, credentials or eligibility.
3.2 Account credentials
You are responsible for taking reasonable steps to protect your device, access credentials, authentication methods and Philia ID. You must not share credentials or permit another person to use your account. You must promptly notify P Labs through the current in-Service support or security channel if you suspect unauthorised access or credential compromise.
3.3 Unauthorised activity
You are responsible for activity undertaken through your account to the extent caused by your act, omission or failure to use reasonable security. You are not responsible for unauthorised activity caused solely by P Labs' breach of its legal duties or security obligations. P Labs may temporarily secure or restrict an account while suspected compromise is investigated.
3.4 One person, one account
Unless P Labs authorises otherwise, each person may maintain only one account and may not use multiple devices, telephone numbers, email addresses or identities to obtain duplicate access, invitations, entitlements or rewards. We may link or restrict accounts where reasonably necessary to prevent fraud, misuse or duplication.
4. What SocialFit Is - and Is Not
4.1 Service proposition
SocialFit is a social-intelligence and relational-wellbeing network designed to help adults discover relevant people, settings and experiences, build community, and participate in real-world social life. It uses contextual information, present intent and evidence from Philia-mediated interactions to support those purposes.
4.2 Not principally a dating service
SocialFit is not principally a dating or casual-sex service. Friendship, interests, professional connection, trusted expertise, belonging and other forms of social participation may be supported. If SocialFit offers a specifically designated partnership-related feature, it will be adult-only, subject to explicit opt-in and governed by the feature rules shown at the time. SocialFit does not guarantee that romantic or other relationships will or will not arise between Members.
4.3 Non-clinical boundary
The Service is not a medical device, healthcare service, mental-health treatment, psychiatric assessment, crisis-response service or substitute for professional care. Outputs, prompts, recommendations and reflections are informational and facilitative only and do not constitute medical, psychological, therapeutic, financial, legal or other professional advice.
4.4 Emergencies
Do not use or rely on SocialFit in an emergency or where a person may be at imminent risk of harm. Contact the competent emergency service or a qualified professional. P Labs does not undertake a general duty to monitor private communications or inputs for crisis indicators, although it may act where a serious risk is reported or identified.
5. Platform Systems, AI and the Co-Pilot Rule
5.1 Layered systems
SocialFit uses proprietary Platform Systems to support eligibility, matching, routing, curation, relational evidence, safety, reliability and rewards. These functions are not interchangeable. The Signal Matching Engine may identify people or opportunities relevant to a Member's present Signal. The Scene Curation Engine may compose a group or experience using eligibility, context, preferences, capacity and composition objectives. The Trust or Relational Evidence Graph records and analyses contextual evidence derived from Philia-mediated interactions. Safety and operational-reliability controls operate under separate purposes and rules.
5.2 AI Co-Pilot
Some features use artificial intelligence to organise inputs, communicate governed system signals or generate a reflection or prompt (the "AI Co-Pilot"). The AI Co-Pilot is a communication and assistance layer; it is not an independent authority on a Member's personality, character, mental health, safety or worth.
5.3 Probabilistic outputs
Matching, curation, ranking and AI-supported outputs are contextual and probabilistic. They may be incomplete, inaccurate, delayed, unavailable or unsuitable for a particular circumstance. P Labs does not represent that an inference is an objective fact or that an observed pattern applies to a Member in every context or outside SocialFit.
5.4 Human agency and review
Members decide whether to accept an introduction, join a Room, attend a Scene, respond to a Signal or act on an output. Where automated processing materially restricts access or produces a comparably significant adverse effect, P Labs will provide human consideration, a correction route or another safeguard where required by applicable law. P Labs does not use the Service to make employment, credit, insurance, healthcare or legal eligibility decisions about Members.
5.5 Proprietary operation
P Labs is not required to disclose source code, model parameters, weights, confidence calculations, thresholds, ranking logic, graph propagation, safety rules or other trade secrets, except to the extent disclosure is expressly required by applicable law. We may modify these systems to improve accuracy, safety, fairness, reliability and performance, subject to these Terms and the Privacy Policy.
6. Declared Information, Present Intent and Relational Evidence
6.1 Declared information
Profile, StoryBuilder, Story, Worlds, values, archetypes, professional context, interests, boundaries, geography and social preferences describe information a Member chooses to provide. P Labs does not independently certify that self-declared information is complete or objectively accurate.
6.2 Present intent
Signals, Pulse, availability, reach and similar inputs describe what a Member is seeking, avoiding or open to at a particular time. They may change and must not be treated as permanent traits, continuing consent or commitments to interact.
6.3 Observed or reported evidence
Check-ins, attendance, repeat interactions and Relational Feedback describe what was reported or recorded in connection with a particular Philia-mediated interaction. P Labs may derive contextual patterns from sufficiently reliable evidence, but those patterns are not universal judgments about a Member's character, compatibility, safety or relationships outside SocialFit.
6.4 No assurance of another Member
Identity or eligibility verification, matching, a Philia Key, a recommendation or the existence of relational evidence does not constitute a background check, guarantee of safety, endorsement, fiduciary assurance or warranty of another Member's intentions or conduct.
7. Access Tiers and Feature Entitlements
7.1 Tiered access
The Service may include a free Explorer tier and one or more paid tiers. Current features, limits, prices, Signal allowances, hosting permissions, event priority and other entitlements are those displayed in the Service or at checkout. Features and plan names may vary by location, cohort or testing programme.
7.2 Demonstration features
Before live-network activation, SocialFit may provide private demonstrations or previews. Unless clearly stated otherwise, demonstration inputs do not create live matches, reach other Members, form Rooms or consume live entitlements. Demonstration outputs are illustrative and may differ from the live Service.
7.3 Free and paid boundaries
Free access may permit limited use or demonstration of network interest without enabling a Member to act on every result. Certain actions, including conversion of a Signal into an interaction, government identity verification, Room hosting or priority experiences, may require an eligible paid tier as displayed in the Service.
7.4 Testing and availability
P Labs may introduce, test, limit or discontinue features or cohorts. We will not materially reduce a prepaid core entitlement during the current paid term without providing any notice, remedy or choice required by law or the applicable purchase terms.
8. Philia Keys, Origins and Nominations
8.1 Origins
P Labs may operate an invitation-only launch cohort known as Origins or the First Wave. Company-issued Founder Keys may be subject to individual review during a limited launch cohort. Later nominations or applications may instead be assessed through eligibility, verification, capacity, integrity and safety controls without individual manual review.
8.2 Designated use
A Philia Key may be used only by the person to whom it is specifically issued or nominated. It may not be sold, bartered, auctioned, publicly posted, reassigned, forwarded for another person's use or otherwise commercially exploited. Issuance to the designated nominee is the intended use and is not a prohibited transfer.
8.3 Activation windows
A Key may be subject to an activation period disclosed when it is issued. A company-issued Founder Key may use a single activation clock beginning when the Key is sent; completing an OTP or another onboarding step does not create a new period unless P Labs expressly states otherwise. An expired or unclaimed Member-issued Key may return to the issuing Member's Key Vault where the product rules permit.
8.4 Nomination controls
Members must not nominate themselves, create duplicate nominations, evade eligibility restrictions or use another identity to redeem a Key. A nomination is a personal invitation only and does not create an agency, sponsorship, financial or legal relationship between nominator and nominee.
8.5 No entitlement
A Key, nomination or application does not guarantee account activation, paid access, acceptance into a cohort, continued membership or access to a particular feature or Scene. Access remains subject to eligibility, verification, capacity, safety, integrity, payment and these Terms. P Labs may expire, revoke or reallocate a Key where reasonably necessary for those purposes.
9. Memberships, Billing and Automatic Renewal
9.1 Purchase information
Before purchase, SocialFit will display the applicable price, currency, billing interval, taxes, core plan entitlements and any minimum commitment. You authorise P Labs and its payment provider to charge the payment method selected at checkout for the disclosed amounts.
9.2 Payment provider
Stripe or another authorised payment provider processes payments and may apply its own terms and privacy notice. P Labs ordinarily receives transaction status, amount, currency, billing details and a provider reference rather than full payment-card credentials.
9.3 Automatic renewal
A recurring membership renews for successive periods matching the selected billing interval unless cancelled before the renewal cut-off shown in the Service or checkout terms. Where required, we will provide renewal or price-change notices. You are responsible for maintaining a valid payment method.
9.4 Price changes
We may change future pricing on reasonable advance notice. A new price will not apply retrospectively or during a prepaid fixed term. Unless the purchase terms state otherwise, it applies from the next renewal after the notified effective date. You may cancel before that renewal if you do not accept the revised price.
9.5 Failed or disputed payments
If a payment fails, is reversed or is disputed, P Labs may retry the payment, suspend paid features, downgrade the account, cancel an unpaid booking or terminate the paid membership after reasonable notice where practicable. This does not affect a Member's right to dispute an incorrect charge in good faith.
9.6 Taxes
Prices may be stated exclusive or inclusive of VAT as indicated at checkout. You are responsible for taxes lawfully imposed on your purchase, except taxes imposed on P Labs' income.
10. Cancellation, Refunds and Consumer Rights
10.1 Membership cancellation
You may cancel a recurring membership through the account settings or current support channel. Unless law or purchase terms require otherwise, cancellation stops future renewal and takes effect at the end of the current paid billing period. Access ordinarily continues until then. Cancellation of a recurring membership stops future renewal but does not by itself close or delete the Member’s SocialFit account.
10.2 No outcome-based refund
Subject to mandatory law, P Labs does not provide a refund merely because a Member did not use the Service, did not receive a preferred match, received fewer responses than expected, chose not to attend, or was dissatisfied with a subjective social outcome. SocialFit does not sell a guaranteed connection, invitation or relationship.
10.3 Defects and billing errors
Nothing in these Terms limits rights arising from a verified billing error, failure to supply a purchased service, material service defect or other mandatory consumer protection. P Labs may investigate the request and provide re-performance, correction, credit or refund as required by law and reasonably appropriate to the affected service.
10.3.1. Discontinuation of a Prepaid Service or Entitlement
If P Labs permanently discontinues the Service or a core prepaid paid entitlement during the Member’s current paid term, and the discontinuation is not caused by the Member’s breach, non-payment or ineligibility, P Labs will provide a reasonably equivalent replacement where practicable. If no reasonably equivalent replacement is provided, P Labs will provide the appropriate pro-rata refund, account credit, re-performance or other remedy required by applicable law and the applicable purchase terms.
10.4 Ticketed events
Event-ticket cancellation, transfer and refund rules will be disclosed at purchase. If P Labs cancels a paid event and does not provide a reasonably equivalent rescheduled event accepted by the Member, P Labs will provide a refund or other remedy required by law. If an event is postponed or materially changed, P Labs may offer attendance on the new date, a transfer, credit or refund consistent with the purchase terms and applicable law.
10.5 Non-excludable rights
Any stated no-refund rule is subject to rights that cannot lawfully be excluded under applicable UAE consumer law. No provision requires a Member to waive such a right merely because digital access began.
11. Signals, Matching and Introductions
11.1 Signals
A Signal is a present, revocable expression of social intent. A Member must use Signals honestly and lawfully and may not use them for spam, surveillance, harassment, discrimination, prohibited solicitation or collection of another person's information.
11.2 Matching inputs
The Signal Matching Engine may use permitted profile or Story information, current Signal and Pulse, geography, availability, boundaries, membership eligibility, safety controls and contextual relational evidence. Not every input applies to every feature, and P Labs may adjust inputs and weighting without disclosing proprietary mechanics.
11.3 Introductions
A suggested match or introduction is an opportunity, not a direction or assurance. Members retain control over whether to respond or participate. A Member must respect non-response, refusal, blocking, boundaries and any in-Service communication restriction.
11.4 No guaranteed result
P Labs does not guarantee that a Signal will be distributed to a particular audience, receive interest, produce a match or convert into an interaction. Safety, capacity, availability, system performance, geography and member choices may affect results.
11.5 Pods and Geographic Routing
SocialFit may use location information provided through StoryBuilder, including where a Member lives, works or frequently spends time, to support Pod assignment and geographic routing. Such information may be converted into coordinates, approximate geospatial cells or similar location references for the purpose of assigning or routing the Member to a Home Pod or related Pod field.
Pod assignment does not necessarily involve continuous device-location tracking, does not itself constitute a compatibility assessment and does not create an unrestricted right to contact another Member.
12. Scenes and Curated Experiences
12.1 Curation
Certain SocialFit experiences may be curated, targeted or capacity-limited. Invitations and priority may be determined through a combination of automated and human curation using eligibility, preferences, Worlds or interests, geography, life context, format requirements, current receptivity, group-composition objectives, network structure and sufficiently established relational evidence.
12.2 Discretion and fairness
Not receiving a Scene invitation is not a judgment about a Member's worth, character, safety or general trustworthiness. P Labs may adjust invite lists, timing, format and capacity for legitimate operational, safety, accessibility or composition reasons. An invitation to one Scene creates no entitlement to future invitations.
12.3 Feature rules
A Scene may carry supplemental rules concerning tickets, dress, venue, timing, guest conduct, photography, accessibility, alcohol, transport or cancellation. Those rules form part of these Terms when presented before purchase or participation.
13. Rooms and Member-Hosted Activities
13.1 Nature of Rooms
A Room is an intentional interaction formed around a relevant point of fit. Rooms are designed to support real-world participation rather than perpetual digital chat. The Service will indicate whether a Room is Member-hosted, P Labs-curated or subject to another operating model.
13.2 Host obligations
A Member host is responsible for accurately describing the activity, selecting a lawful and reasonably suitable setting, communicating material logistics, respecting venue rules, applying SocialFit's participation standards, and avoiding foreseeable and unreasonable risks. A host must not represent that they act as P Labs' employee, agent or authorised event organiser.
13.3 Platform role
For a genuinely Member-hosted Room, P Labs facilitates discovery, communication and participation but does not control the venue, supervise the interaction or guarantee a participant's conduct. Facilitation, matching, identity status or safety tooling does not make P Labs the organiser of every Member-hosted activity.
13.4 Personal judgment
Members must exercise ordinary judgment before meeting, use lawful and reasonably safe venues, arrange their own transport, safeguard property, comply with local law and leave an interaction if they feel unsafe. Members should use in-Service reporting tools for material concerns.
14. P Labs-Curated Events and Third-Party Venues
14.1 P Labs role
Where P Labs expressly curates, sells or operates a Scene or Signature Experience, it may select attendees, format, venue, timing, hosts or partners and enforce event rules. P Labs' facilitation does not guarantee that participants, venues or independent providers will perform without error, but P Labs will not inaccurately characterise itself as merely providing infrastructure where it directly operates the event.
14.2 Venue and provider rules
Independent venues, hospitality providers, transport providers and other partners may apply their own rules and privacy notices. Members must follow lawful venue directions. P Labs is not responsible for an independent provider's acts or omissions except to the extent liability arises from P Labs' own non-excludable duty, selection or conduct.
14.3 Changes and admission
P Labs may change a venue, schedule, capacity, programme or attendee composition where reasonably necessary. It may refuse admission or remove a person for safety, misconduct, intoxication, non-payment, ineligibility or material breach. Any refund or credit will be determined under Clause 10 and the event purchase terms.
14.4 Assumption of ordinary risk
In-person activities involve ordinary social, travel, food, beverage, venue and interpersonal risks. By participating, a Member accepts risks reasonably inherent in the disclosed activity, but does not waive liability that cannot lawfully be excluded.
15. Philia ID, Verification and Attendance Confirmation
15.1 Philia ID
Philia ID is SocialFit's proprietary member identity and verification credential. It may indicate registered-member status, relevant verification status, identity continuity and feature eligibility. It is not a government identity document, background check, guarantee of safety or endorsement of character.
15.2 Paid-member verification
An eligible paid membership may require email, mobile and government identity verification through Didit, SocialFit’s launch identity-verification provider, or another approved provider notified to Members where the provider changes. P Labs may request reverification where a credential expires, information changes, fraud is suspected or a higher-trust feature requires it.
15.3 Check-in mechanisms
SocialFit may require or prompt Members to confirm attendance or member status through Philia ID, QR code, Philia Tap or another in-Service mechanism. Members must not copy, lend, falsify or misuse another person's credential or check-in record.
15.4 Provider processing
The verification provider may process Emirates ID or other approved government-ID information, facial images, biometric or liveness information and related verification attributes necessary to complete the configured verification checks. P Labs seeks to receive and retain only the minimum result or provider reference necessary for Philia ID, eligibility, fraud prevention and applicable trust controls. The Privacy Policy explains the applicable data flow, roles, processing locations and retention controls.
16. Relational Feedback and Private Contribution Evidence
16.1 Collection
After a confirmed Philia-mediated interaction, SocialFit may invite one Member to provide confidential Relational Feedback about the contribution or outcome of the interaction. Feedback may concern experiential contribution, social-capital contribution, whether the Members interacted sufficiently, whether it is too early to assess an outcome, or whether the responding Member wishes to meet again.
16.2 Permitted uses
P Labs may use Relational Feedback to improve matching and curation, personalise future experiences, understand repeated independent patterns, support Member controls and evaluate network quality. It may derive aggregate contribution signatures or contextual relational evidence where the evidence is sufficiently reliable for the relevant purpose.
16.3 No public rating
Relational Feedback is not a public star-rating, leaderboard or universal reputation score. A single response is not an objective judgment. A pair-specific decision not to meet again is a private continuation preference and must not automatically become a network-wide penalty. "We did not interact enough" and "too early to tell" are neutral insufficiency responses, not negative ratings.
16.4 Confidentiality
One-sided continuation preferences and individual feedback are not ordinarily disclosed to the other Member. P Labs may disclose or withhold information as required by law, to protect a person's rights or safety, or to respond to a valid data-rights request while protecting the rights and confidentiality of others.
16.5 Member obligations
Feedback must be honest, proportionate and based on the relevant interaction. Members must not coordinate answers, retaliate, discriminate unlawfully, harass, defame, manipulate outcomes, fabricate an interaction or exchange value for a particular response. P Labs may disregard, limit or investigate feedback that appears unreliable or abusive.
16.6 Separation from safety
Ordinary Relational Feedback is not a safety report. A Member must use the dedicated safety or reporting process for harassment, stalking, threats, fraud, boundary violations, sexual solicitation or serious misconduct. P Labs may redirect a submission to the appropriate process where necessary.
17. Operational Reliability
17.1 Participation records
SocialFit may record RSVP status, check-in, attendance, cancellation timing, verified no-shows and severe lateness to operate events and protect other Members' time. A Member must provide timely and accurate attendance information.
17.2 Private consequences
Repeated or material reliability failures may affect participation privileges, routing scope, hosting eligibility, event priority, Key or reward eligibility, or access to particular features. Such consequences are private operational controls, not public ratings, safety findings or moral judgments.
17.3 Verification and correction
P Labs will use reasonable evidence before applying a material reliability restriction and will provide a route to correct a material factual error. P Labs need not publish proprietary thresholds or make operational controls visible to other Members.
18. Safety, Blocking and Reports
18.1 Safety channels
Members may block another Member, request not to be matched again, or submit a safety or conduct report. Blocking and private pair-level preferences may be implemented without notifying the other person where notification could undermine privacy or safety.
18.2 Safety review
P Labs may use automated flags, rules, human review and relevant evidence to triage and investigate reports. Safety evidence is handled separately from ordinary feedback and reliability data, although information may be considered across systems where reasonably necessary to address serious risk, fraud or abuse.
18.3 No guarantee or general monitoring duty
P Labs does not pre-screen every Member, monitor every communication or supervise every in-person interaction and cannot guarantee safety. This does not limit any duty P Labs has under applicable law after receiving credible information about a specific risk.
18.4 Emergency disclosure
P Labs may preserve or disclose limited information where reasonably believed necessary to respond to imminent harm, comply with lawful process, protect vital interests or establish, exercise or defend legal claims, subject to the Privacy Policy and applicable law.
19. Social Perception and Invited Third-Party Input
19.1 Feature scope
Where enabled, Social Perception allows a Member to invite people they know to provide relational input that may appear privately within the Member's Philia ID or personal experience. The Service will explain the audience, purpose and visibility before an invitation is sent.
19.2 Lawful invitations
A Member may invite only a person they genuinely know and may contact lawfully and respectfully. Invitations must not be used for spam, embarrassment, coercion, retaliation, workplace surveillance or collection of information about an unrelated person.
19.3 Input limitations
Third-party input is subjective and is not verified by P Labs as objective fact. P Labs may moderate, exclude or remove input that is abusive, unlawful, irrelevant or inconsistent with the feature rules.
20. Keys, Rewards and Contribution Benefits
20.1 Conditional availability
P Labs may offer Bonus Keys, Signal Boosts, membership credits, contribution credits or other non-cash benefits (collectively, "Rewards"). Current eligibility, use, expiry and limits will be stated in the relevant feature rules.
20.2 Legal nature
Unless expressly stated otherwise, Rewards have no cash value, are not deposits, securities, investments, wages, property interests or equity, and may not be sold, transferred or redeemed for cash. They do not create voting, profit-sharing, referral-commission or ownership rights.
20.3 Direct attribution only
A Reward may recognise a Member's direct, verified contribution or a person directly nominated by that Member. No Member acquires an economic, reward or attribution interest in a nominee's nominee or later generations. The Key and Reward system is not a multi-level marketing or pyramid structure.
20.4 No volume-based rewards
Creating Signals, browsing profiles or Rooms, sending high volumes of invitations, or generating superficial activity does not by itself qualify for a Reward. P Labs may define qualifying events and may withhold, reverse or void a Reward obtained through duplication, manipulation, fraud, collusion or breach.
20.5 Feedback independence
P Labs will not directly reward a Member for selecting a particular Relational Feedback answer or for providing a favourable assessment. Earning a Reward does not modify Trust Graph evidence, override safety or eligibility, guarantee a match, or guarantee that a nominee will be admitted.
20.6 Prospective changes
P Labs may change Reward criteria prospectively on reasonable notice in the Service. A change will not convert a previously earned Reward into a cash or ownership claim, and any expiry or revocation will remain subject to mandatory law.
21. Member Content and Permissions
21.1 Member ownership
As between the Member and P Labs, the Member retains rights they hold in original text, images, messages, Story inputs and other content they submit ("Member Content"). A Member must have the rights and lawful basis necessary to submit content concerning another person.
21.2 Service licence
The Member grants P Labs a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, analyse, transmit and otherwise process Member Content only as reasonably necessary to provide, secure, moderate, administer and improve the Service, comply with law and exercise or defend legal rights. The licence lasts while the content or account is active and thereafter only for permitted retention, backup, safety, dispute and legal purposes.
21.3 Platform-derived information
Subject to privacy and data-protection law, P Labs owns the Service's software, taxonomies, configurations, system outputs, aggregate metrics and derived structures. This does not give P Labs ownership of a Member's personal data or override the Member's statutory rights.
21.4 Model training boundary
P Labs will not use raw, identifiable Member Content as unrestricted training material for an external general-purpose foundation model. Approved providers may process limited information to deliver a feature subject to contractual, technical and retention controls described in the Privacy Policy.
21.5 Feedback licence
If a Member voluntarily submits product suggestions or service feedback, P Labs may use them without payment or attribution, provided that this does not authorise public disclosure of personal data or confidential Relational Feedback.
22. P Labs Intellectual Property
22.1 Ownership
P Labs and its licensors retain all rights in the Service, including software, designs, brands, databases, ontologies, Measurement Spine, Governance Layer, Signal Matching Engine, Scene Curation Engine, Trust or Relational Evidence Graph, proprietary prompts, taxonomies, scoring and ranking logic, and model configurations or weights developed and owned by P Labs. Third-party materials remain the property of their respective owners.
22.2 Limited right of use
Subject to these Terms, P Labs grants a personal, limited, non-exclusive, non-transferable and revocable right to use the Service for its intended non-commercial purpose during an eligible account or membership. No source-code, trademark or broader commercial licence is granted.
22.3 Prohibited extraction
You must not reverse-engineer, decompile, disassemble, scrape, crawl, systematically extract, reproduce, sell, sublicense or create a competing product from protected elements of the Service, except to the limited extent a prohibition is not enforceable under applicable law.
22.4 Anti-training restriction
You must not systematically use non-public Service outputs, Member information, proprietary classifications or datasets to train, benchmark or improve a competing model, matching system or networking product. This does not prohibit a Member from using their own lawful account export for personal purposes consistent with the rights of others.
23. Acceptable Use and Community Conduct
23.1 Lawful and respectful use
You must use SocialFit for lawful, respectful social participation and comply with the Community Standards. You must respect consent, privacy, boundaries, venue rules and reasonable instructions connected with safety or operation of the Service.
23.2 Prohibited conduct
- harassment, stalking, threats, bullying, intimidation, coercion, shaming, discrimination, retaliation or non-consensual surveillance;
- sexual solicitation, escorting, prostitution, trafficking, non-consensual intimate content, or casual-sex solicitation contrary to an applicable feature rule;
- fraud, impersonation, misrepresentation, duplicate accounts, fabricated interactions, manipulation of feedback, Keys, attendance or Rewards;
- spam, multi-level marketing, unsolicited commercial promotion, scraping, data brokerage or unauthorised collection of Member information;
- malware, vulnerability probing, credential attacks, circumvention of access controls or interference with the Service;
- publishing or exposing another person's Signals, Philia ID, private feedback, location, contact details or communications without lawful authority; or
- any unlawful act or use that creates a material and unreasonable safety, privacy, security or reputational risk to Members, P Labs, venues or partners.
23.3 Unsafe first meetings
P Labs may publish safety guidance for first in-person interactions, including use of public or otherwise suitable venues and independent transport. A material or repeated disregard of mandatory safety rules may result in restrictions under Clause 24.
24. Moderation, Restrictions and Appeals
24.1 Enforcement
P Labs may investigate suspected breach and may warn, limit visibility, restrict matching or messaging, revoke hosting or Reward eligibility, cancel an event booking, suspend an account or terminate access where it reasonably believes action is necessary to enforce these Terms, protect safety, prevent fraud, comply with law or preserve Service integrity.
24.2 Proportionality and urgency
Where reasonably practicable, enforcement will consider the nature, severity, evidence, repetition, risk and available alternatives. P Labs may act immediately and without advance notice where delay could increase safety, legal, fraud, security or evidentiary risk.
24.3 Confidentiality
P Labs may limit the information disclosed about a report, reporter, evidence, threshold or protective measure where disclosure could prejudice another person's privacy, safety, legal rights, an investigation or proprietary security controls.
24.4 Review route
A Member may use the current in-Service appeal or support channel to identify a material factual error or request review of a significant restriction. P Labs may decline repetitive, abusive or bad-faith requests and is not required to restore access where a lawful and reasonable protective basis remains.
25. Privacy and Data Protection
25.1 Privacy Policy
P Labs processes personal data in accordance with applicable data-protection law, including Federal Decree-Law No. 45 of 2021 Concerning the Protection of Personal Data where applicable, and the SocialFit Privacy Policy. The Privacy Policy explains data categories, purposes, legal grounds, recipients, transfers, retention, security and rights.
25.2 Processing categories
The Service may process declared profile information, present-intent information, interaction and attendance records, directed Relational Feedback, derived contribution patterns, verification results, safety and integrity data, Key provenance, operational reliability, Rewards and technical data. Not every category is processed for every Member.
25.3 Minimisation and governed processing
SocialFit is designed to minimise raw narrative disclosure and use structured or abstract signals where reasonably appropriate. This does not mean raw text is never processed. Limited text may be processed for an initiated feature, moderation, security or support through approved systems subject to purpose, access, contractual and retention controls.
25.4 No sale or targeted advertising
Unless the Privacy Policy is updated with any legally required notice and consent, P Labs does not sell or rent Member personal data, disclose it to data brokers, or permit third parties to use it for their own targeted advertising.
25.5 Rights of others
A Member's privacy rights do not automatically entitle them to receive another person's confidential feedback, identity or report. P Labs will assess rights requests under applicable law and protect the rights, freedoms, safety and confidentiality of all affected persons.
26. Third-Party Services
26.1 Dependencies
The Service may rely on Stripe, identity providers, communications services, mapping, hosting, analytics, cybersecurity, AI infrastructure, venues and other providers. Some act for P Labs under contract; others independently determine processing or supply terms.
26.2 Independent terms
A third-party service may require acceptance of its own terms or privacy notice. P Labs does not control an independent provider's systems and does not guarantee uninterrupted availability. P Labs remains responsible for its own selection, configuration and legal obligations to the extent required by law.
26.3 External links
The Service may link to external content. A link does not constitute endorsement, and P Labs is not responsible for external content or practices outside its control.
27. Account Closure and Effect of Termination
27.1 Member closure
You may request account closure using the current in-Service account or privacy channel. Closure does not automatically cancel an outstanding event booking or payment obligation unless the applicable purchase terms state otherwise. Account closure is separate from cancellation of a recurring membership and separate from cancellation of a ticketed event or booking.
27.2 P Labs termination
P Labs may terminate or suspend the Service or an account under Clause 24, for non-payment, if the Service is discontinued, or where continued provision would be unlawful or materially unsafe. Where practicable and lawful, P Labs will provide notice and a reasonable opportunity to export eligible Member Content.
27.3 Data after closure
After closure, active profile and service data will be deleted, anonymised or restricted in accordance with the Privacy Policy. P Labs may retain limited payment, tax, security, safety, suppression, dispute and legal-claim records. Directed feedback and relational edges must not remain as a secretly identifiable active "ghost profile" after the retention or de-identification process is completed.
27.4 Survival
Clauses concerning accrued payments, intellectual property, confidentiality of Relational Feedback, prohibited extraction, disclaimers, liability, indemnity, dispute resolution and lawful data retention survive to the extent necessary to give them effect.
28. Disclaimers and Service Availability
28.1 As available
To the maximum extent permitted by law, the Service is provided on an "as available" basis. P Labs does not promise uninterrupted or error-free availability and may conduct maintenance, security work, upgrades or capacity controls.
28.2 No social outcome warranty
P Labs does not warrant that a match will be available, another Member will respond or behave lawfully, an interaction will occur, or use will produce friendship, belonging, professional opportunity, wellbeing or any other personal result.
28.3 No Member or venue warranty
Information supplied by Members, hosts and independent venues may be incomplete or inaccurate. P Labs does not warrant another person's identity beyond the status specifically indicated by the applicable verification result, and does not guarantee conduct, compatibility, qualifications or safety.
28.4 Mandatory warranties
This Clause does not exclude an express commitment in a purchase description or a warranty, duty or consumer remedy that cannot lawfully be excluded.
29. Limitation of Liability
29.1 Excluded losses
To the maximum extent permitted by applicable law, P Labs and its officers, employees, contractors and affiliates will not be liable for indirect, incidental, special or consequential loss, loss of profit, business opportunity, goodwill or data, or emotional distress arising from use of the Service, except where such exclusion is prohibited.
29.2 Liability cap
Subject to Clause 29.3, P Labs' aggregate liability arising from the Service and these Terms will not exceed the greater of: (a) the amount paid by the Member to P Labs for the affected Service during the twelve months preceding the event giving rise to the claim; and (b) AED 500. For a claim solely concerning a separately priced ticketed event, amounts paid for that event are included in the calculation.
29.3 Non-excludable liability
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross fault where it cannot lawfully be limited, death or personal injury to the extent caused by a non-excludable breach, liability arising from a harmful act where exclusion is prohibited, mandatory consumer rights, or any other liability that applicable law does not permit the parties to exclude or limit.
29.4 Member-hosted interactions
P Labs is not liable for a Member's independent act or omission merely because the Service introduced or connected the Members. This allocation does not exclude liability arising from P Labs' own non-excludable conduct or duty.
30. Member Indemnity
30.1 Scope
To the extent permitted by law, you will indemnify P Labs against third-party claims, losses, penalties and reasonable legal costs finally awarded or reasonably incurred arising directly from your material breach of these Terms, unlawful Member Content, fraud, wilful misconduct, infringement of another person's rights, or conduct as a Member host.
30.2 Procedure and limits
P Labs will give reasonable notice of an indemnified claim where practicable, permit reasonable participation in the defence, and will not settle a claim imposing a non-monetary obligation on you without reasonable consultation. You are not required to indemnify P Labs for a claim to the extent caused by P Labs' own breach, fraud, wilful misconduct or non-excludable liability.
31. Changes to the Service and These Terms
31.1 Service changes
P Labs may change the Service for legal, regulatory, security, safety, technical, operational, product-development or legitimate commercial reasons. Free, beta, experimental or testing features may be modified or discontinued at P Labs’ reasonable discretion. P Labs will not materially reduce a prepaid core entitlement during the current paid term merely for general commercial reasons without providing the notice, replacement, credit, refund or other remedy required by the applicable purchase terms or mandatory law.
31.2 Terms changes
P Labs may update these Terms to reflect changes in law, product operation, security, vendors or legitimate business needs. The updated version will show a revised effective date. Material changes will be communicated by email, in-Service notice or another reasonably prominent method before they take effect where practicable.
31.3 Consent and discontinuation
P Labs will obtain renewed consent where required by law, including for a materially different personal-data purpose. If you do not agree to a material contractual change, you may stop using the Service and cancel future renewal. Existing disputes and accrued rights remain governed by the version applicable when they arose unless law requires otherwise.
32. Governing Law and Disputes
32.1 Governing law
These Terms and any non-contractual obligations arising from them are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Ajman, without prejudice to mandatory laws that apply to a consumer.
32.2 Good-faith resolution
Before filing proceedings, a party should send a written notice describing the dispute and requested resolution through the current legal contact channel. The parties will attempt in good faith to resolve the matter for thirty (30) days, unless urgent relief, a limitation period or mandatory procedure requires earlier action.
32.3 Courts
Subject to mandatory jurisdiction and any required conciliation or mediation procedure, the competent federal courts sitting in the Emirate of Ajman will have exclusive jurisdiction over a dispute arising from these Terms or the Service.
33. General Provisions
33.1 Assignment
You may not assign these Terms or your account without P Labs' written consent. P Labs may assign these Terms as part of a merger, restructuring, financing, sale of business or transfer to an affiliate, provided the assignee assumes the relevant obligations and the transfer does not reduce mandatory consumer or privacy rights.
33.2 Severability
If a provision is unlawful or unenforceable, it will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in effect.
33.3 No waiver
A delay or failure to enforce a right is not a waiver. A waiver must be clear and applies only to the specific circumstance for which it is given.
33.4 No partnership or agency
These Terms do not create an employment, partnership, fiduciary, franchise, joint venture or agency relationship between a Member and P Labs or between Members.
33.5 Entire agreement
These Terms and the incorporated Additional Terms constitute the agreement concerning the consumer Service and supersede prior statements on the same subject. They do not supersede a separate written business, employment, contractor, confidentiality or intellectual-property agreement with P Labs.
33.6 Language and electronic records
These Terms may be made available in English and Arabic. Where applicable UAE consumer law requires contractual information or consumer terms to be provided in Arabic, the Arabic version will be provided accordingly. If a conflict arises between language versions, the interpretation required by mandatory applicable law will prevail. Electronic acceptance, notices and records may be used to the extent permitted by law.
33.7 Contact
Legal notices, support requests, privacy requests and security reports must be sent through the current contact channel identified within the Service or SocialFit Privacy Policy. P Labs' registered office is in the Ajman Free Zone, United Arab Emirates. The complete registered address and dedicated contact details must be published before these Terms are released to Members.
